Thank you for using a Product of Pezasys Private Limited. PLEASE READ THIS TERMS OF USE AGREEMENT CAREFULLY BEFORE USING THIS WEB APPLICATION. The Pezasys Private Limited (“Pezasys, PezaPack, PezaPrint, PezaDigi, PezaPacklite” the “Company,” “we,” “us,” and “our,”) provides all web based services, and applications (collectively, the “App”) subject to your compliance with the terms and conditions set forth in this agreement (the “Agreement”). This Agreement governs the relationship between Pezasys Private Limited and you, the App visitor and/or member (“you”) with respect to your use of the App. These Terms of Service (the “Terms”) are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the Pezasys web application and any related mobile or software applications (“Pezasys Platform”) including but not limited to delivery of information via the website whether existing now or in the future that link to the Terms (collectively, the “Services”). It is important that you read carefully and understand the terms and conditions of this Agreement. By using the App, you agree to be bound by this Agreement. If you do not agree to these terms and conditions, please do not use the App.

Privacy is important to us. These Terms of use incorporate the Privacy Policy

Pricing Policy

Packages are one-time payments and your quota for generating Keyline & Nesting will expire as per your selected plan. By buying prepaid packages it is possible to extend the allowed usage of the service (“Generate Kylines/Nested layouts”). All payments are one time prepaid payments and are not refundable. The bought packages will be activated on your account as soon as we receive your payment.. Unused used credits will expire as per package selected.

REFUND WILL NOT BE PROVIDED FOR ANY SUBCRIPTION. WE DO NOT PROVIDE CREDIT, REFUNDS OR PRORATED BILLING FOR SUBCRIPTIONS THAT ARE CANCELLED MID-TERM. In such circumstances, you will continue to have access till the end of your subscription date. You agree not to bypass these policies by any means (e.g. creating multiple accounts).

Responsibility for Data

Your data is solely your responsibility. We do not make backups of your files. While we try to ensure that the service is error free, we cannot guarantee that your files will not be damaged, deleted or lost. You acknowledge that you have a copy of all files and Pezasys will not be responsible for any failure of service and loss of data.

RIGHT OF MODIFICATION

WE RESERVE THE RIGHT AT ANY TIME TO:

• Change the terms and conditions of this Agreement
• Change the App, including eliminating or discontinuing any content on or feature of the App
• Change any fees or charges for use of the App.

Any changes we make will be effective immediately upon notice, which we may provide by means including, without limitation, posting on the App or electronic mail. Your continued use of the App following such changes will be deemed acceptance of such changes. Be sure to return to this page periodically to ensure familiarity with the most current version of this Agreement.

Registration

The App may require you to be or become a registered user. When and if you register, you agree to (a) provide accurate, current and complete information about yourself as prompted by our registration form (including your email address) and (b) maintain and update your information (including your email address) to keep it accurate, current and complete. You acknowledge that, if any information provided by you (or on your behalf under your direction or knowledge) is untrue, inaccurate, not current or incomplete or contains a misrepresentation, we reserve the right to terminate this Agreement and your use of the App.
As part of the registration process, you will be asked to select a username and password. We may refuse to grant you a username that impersonates someone else, is or may be illegal, is or may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion, as determined by us in our sole discretion. You will be responsible for the confidentiality and use of your username and password and agree not to transfer or resell your use of or access to the App to any third party. If you have reason to believe that your account with us is no longer secure, you must promptly change your password and immediately notify us of the problem. YOU ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME AND PASSWORD AND FOR ANY AND ALL ACTIVITIES (INCLUDING PURCHASES, AS APPLICABLE) THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.

Code of Conduct

While using the App, you agree not to:

• Restrict or inhibit any other visitor, user or member from using the App, including, without limitation, by means of “hacking” or defacing any portion of the App
• Use the App or Materials for any unlawful purpose
• Use the App or Materials to engage in any act of fraud, misrepresentation or other unethical behavior
• Express or imply that any statements you make are endorsed by us, without our prior written consent
• Transmit (a) any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or infringes our or any third party’s intellectual property or other rights; (b) any material, non-public information about companies without the authorization to do so; (c) any trade secret of any third party; or (d) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication (except as otherwise expressly permitted by us)
• Engage in spamming or flooding
• Transmit any software or other materials that contain any viruses, worms, trojan horses, defects, date bombs, time bombs or other items of a destructive nature
• Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the App or Materials
• Remove any copyright, trademark or other proprietary rights notices contained in the App or Materials
• “Frame” or “mirror” any part of the App without our prior written authorization
• Use any robot, spider, site search/retrieval application or other manual or automatic device or process to retrieve, index, “data mine” or in any way reproduce or circumvent the navigational structure or presentation of the App or its contents; or
• Harvest or collect information about App visitors or members without their express consent. While using the App or Materials, you agree to comply with all applicable laws, rules and regulations.

The App may contain links to other Internet web sites, including affiliated web sites which may or may not be owned or operated by Pezasys Private Limited. Pezasys Private Limited has not reviewed all of the web sites that are or may be linked to the App, and Pezasys Private Limited has no control over such sites. Unless otherwise explicitly stated, Pezasys Private Limited is not responsible for the content of such web sites, any updates or changes to such sites, or the privacy or other practices of such sites, and the fact that Pezasys Private Limited offers such links does not indicate any approval or endorsement of any material contained on any linked site. Pezasys Private Limited is providing these links to you only as a convenience. Accordingly, we strongly encourage you to become familiar with the terms of use and practices of any linked site. Further, it is up to you to take precautions to ensure that whatever links you select (whether from the App or other sites) is free of such items as viruses, worms, trojan horses, defects, date bombs, time bombs and other items of a destructive nature.

COPYRIGHT

All content or other materials available on the Sites, including but not limited to code, images, text, layouts, arrangements, displays, illustrations, audio and video clips, HTML files and other content are the property of Pezasys Private Limited and are protected by copyright. All rights in the Site and its content, if not expressly granted, are reserved by Pezasys Private Limited.

ARBITRATION & JURISDICTION

Though all efforts have been made to ensure the accuracy and currency of the content on this Portal, the same should not be construed as a statement of law or used for any legal purposes. In no event will the Pezasys Private Limited or Pazapack be liable for any expense, loss or damage including, without limitation, indirect or consequential loss or damage, or any expense, loss or damage whatsoever arising from use, or loss of use, of data, arising out of or in connection with the use of this Portal.
These terms and conditions shall be governed by and construed in accordance with the Indian Laws. Any dispute arising under these terms and conditions shall be subject to the exclusive jurisdiction of the courts of India.

Eligibility & Termination Policy

This Agreement shall remain effective until terminated in accordance with its terms. You agree that Company, in its sole discretion and for any or no reason, may terminate any account (or any part thereof) you may have with Company. In addition, we reserve the right to immediately terminate this Agreement, and/or your access to and use of the Site or any portion thereof, at any time and for any reason, with or without cause, including the right to discontinue the display of any User Data. In addition, Company reserves the right to discontinue any aspect of the Services at any time, You agree that any termination of your access to the Service or any account you may have or portion thereof may be affected without prior notice, and you agree that Company will not be liable to you or any third-party for such termination. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of your use of the Service may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies Company may have at law or in equity.

THE APPS, THE MATERIALS ON THE SITE, ANY PRODUCT OR SERVICE OBTAINED THROUGH THE APPS ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, THE PEZASYS AND ITS AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS, SPONSORS AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. Applicable law may not allow the exclusion of implied warranties, so the above exclusions may not apply to you. THE PEZASYS AND ITS AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS, SPONSORS AND AGENTS DO NOT WARRANT THAT YOUR USE OF THE APPS WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APPS OR THE SERVER(S) ON WHICH THE APPS IS HOSTED ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ACKNOWLEDGE THAT YOU ARE RESPONSIBLE FOR OBTAINING AND MAINTAINING ALL TELEPHONE, COMPUTER HARDWARE AND OTHER EQUIPMENT NEEDED TO ACCESS AND USE THE APPS, AND ALL CHARGES RELATED THERETO. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE APPS AND YOUR RELIANCE THEREON. NO OPINION, ADVICE OR STATEMENT OF THE PEZASYS OR ITS AFFILIATES, LICENSORS, SUPPLIERS, ADVERTISERS, SPONSORS, AGENTS, MEMBERS OR VISITORS, WHETHER MADE ON THE APPS SHALL CREATE ANY WARRANTY. YOUR USE OF THE APPS AND ANY MATERIALS PROVIDED THROUGH THE APPS ARE ENTIRELY AT YOUR OWN RISK. A possibility exists that the Apps or Materials could include inaccuracies or errors, or information or materials that violate these Terms of Use (specifically, the Code of Conduct above). Additionally, a possibility exists that unauthorized alterations could be made by third parties to the Apps or Materials. Although we attempt to ensure the integrity of the Apps, we make no guarantees as to the Apps’s completeness or correctness. In the event that a situation arises in which the Apps’s completeness or correctness is in question, please contact us with, if possible, a description of the material to be checked and the location (URL) where such material can be found on the App, as well as information sufficient to enable us to contact you. We will try to address your concerns as soon as reasonably practicable.

Miscellaneous

This Agreement is governed by and construed in accordance with the laws of India. You agree to submit to the exclusive jurisdiction of any court located in Mumbai, and waive any jurisdictional, venue or inconvenient forum objections to such courts. If any provision of this Agreement is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire Agreement between us relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral Agreements between us with respect to such subject matter. This Agreement is not assignable, transferable or sublicense able by you except with the Pezasys’s prior written consent. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
